1. Parties
These Terms of Service (“Terms”) govern participation in the Altair Imaging Elite Program (“Program”) operated by Altair Imaging (“Altair,” “we,” “us”). By joining or using the Program each Client and Contractor (collectively “Participants”) accepts these Terms.
2. Program; No Agency
The Program is a reverse-bid marketplace connecting property owners with Contractors following an imaging scan. Altair facilitates introductions, displays bids and provides imaging and documentation services. Altair is not a party to contracts between Clients and Contractors. No agency, partnership, joint venture, or employment relationship is created.
3. Fees; Invoicing; Payment
3.1 Client Charges. Clients pay Altair at booking for imaging and documentation services.
3.2 Contractor Charges for On-Repair Imaging. If imaging is required during repair work and was not included in the original quote, the Contractor is responsible for those fees billed by Altair.
3.3 Commission. Contractor agrees to pay Altair a 10 % commission (pre-tax) on the initial quoted job value. If the final cost paid by the Client exceeds the initial quote, the commission scales to 10 % of the final cost.
3.4 Timing. Commission is due within 10 business days after Client payment clears. Altair may withhold Program access until payment is received.
3.5 Remedies and Enforcement. Overdue balances accrue interest at 5 % per month (60 % per annum), compounded monthly, until paid in full. Altair may refer unpaid accounts to collection agencies or legal representatives and add reasonable administrative, legal, and recovery costs to the amount owed. Persistent non-payment may result in suspension or permanent removal from the Program and reporting of delinquencies to appropriate credit or trade channels as permitted by law.
4. Bidding, Selection and Contractor Requirements
Bids must cover the full cost of work and remain valid for seven (7) days. Clients select Contractors directly. Contractors must maintain all required licenses and insurance and supply proof on request. Non-compliance may result in suspension or removal.
5. Proof of Completion; Enforcement
Within seven (7) days after the quoted deadline the Contractor must provide proof of completion or a reasonable written explanation for delay. Failure to comply may result in immediate suspension from bidding and permanent removal at Altair’s discretion. Reinstatement, if allowed, may require a written plan and administrative fee.
6. Disputes Between Client and Contractor
All issues arising from projects are strictly between Client and Contractor. Altair does not mediate or accept liability for performance or payment disputes.
7. Representations and Warranties; Disclaimer
Participants represent that information provided is accurate and that they have authority to enter these Terms. ALTAIR PROVIDES THE PROGRAM “AS IS” AND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
8. Indemnity
Each Participant shall indemnify and hold harmless Altair, its officers and affiliates from all claims arising out of (a) breach of these Terms, (b) negligence or misconduct, (c) any Client-Contractor agreement, or (d) Participant-supplied materials. This obligation survives termination.
9. Limitation of Liability
To the maximum extent permitted by law, Altair is not liable for indirect, incidental, or consequential damages. Total direct liability is limited to the greater of amounts paid to Altair in the past twelve (12) months or CAD $1,000.
10. Release and No Class Claims
Participants release Altair from claims within the scope of these Terms and waive any right to class or representative actions.
11. Data and Privacy
Altair collects and stores Participant data to operate and improve the Program. Client data may be used for internal promotion only with written consent. Contractor data may be used for matching, analytics and compliance. All data is handled in accordance with PIPEDA and Ontario privacy laws.
12. Termination
Altair may suspend or terminate Program access for any breach or risk to the Program’s integrity. Termination does not cancel payment obligations or indemnities.
13. Governing Law and Jurisdiction
These Terms are governed by Ontario law and the laws of Canada applicable therein. The courts of Ontario have exclusive jurisdiction over disputes between Altair and Participants.
